End-User License Agreement (EULA)

Important: Please read this End-User License Agreement carefully before downloading, installing, purchasing, accessing, or using the Software or related Tweakrix services. This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Tweakrix Ltd (“Licensor”, “we”, “us”). This EULA governs your use of the Tweakrix software product(s) identified above, related websites, and associated software services, which may include related software components, media, printed materials, electronic documentation, and online functionality (collectively, the “SOFTWARE PRODUCT” or “Software”).

By clicking a download button, clicking “I agree”, purchasing, installing, copying, accessing, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. This EULA constitutes the entire agreement between you and Tweakrix regarding the SOFTWARE PRODUCT and supersedes any prior proposals, representations, or understandings. If you do not agree to the terms of this EULA, do not download, purchase, install, access, or use the SOFTWARE PRODUCT.

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

This EULA applies to software products developed and distributed by Tweakrix, including but not limited to:

  • Tweakrix Driver Updater
  • other software utilities published under the Tweakrix brand

The Software is distributed via tweakrix.com and/or authorized distribution channels.

Tweakrix is an independent software provider and is not affiliated with or endorsed by Microsoft Corporation or any hardware manufacturer.

1. INTRODUCTION

1.1 Acceptance and Consent

By accepting this EULA through any provided consent method, including clicking a download button, clicking “I agree”, purchasing, installing, activating, or otherwise using the Software, you enter into a legally binding agreement with Tweakrix Ltd.

1.2 Eligibility

By using the Software, you represent that you are legally capable of entering into this agreement. If you accept this EULA on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to this EULA.

1.3 Minors

By downloading, installing, or using the Software, you represent that you are of legal age to enter into this EULA under the laws applicable to you, or that you have obtained valid consent from a parent or legal guardian.

1.4 Updates to this EULA

We may update this EULA from time to time. The version published on tweakrix.com will indicate the latest revision date. Material updates will apply prospectively from the date they are published or otherwise communicated.

2. DEFINITIONS

2.1 “Software” or “SOFTWARE PRODUCT”

Means the Tweakrix software product identified above, including executable files, components, updates, accompanying documentation, and related materials supplied by Tweakrix.

2.2 “Documentation”

Means user-facing explanatory materials, website product descriptions, help content, and other written or electronic materials relating to the Software.

2.3 “Updates”

Means modifications, patches, bug fixes, compatibility updates, or new releases made available by Tweakrix.

3. SCOPE AND APPLICABILITY

3.1 Products in Scope

This EULA applies to software products developed and distributed by Tweakrix, including but not limited to Tweakrix Driver Updater and other software utilities published under the Tweakrix brand, unless separate license terms are expressly provided for a specific product.

3.2 Distribution Channels

The Software may be distributed via tweakrix.com and/or authorized distribution channels.

3.3 Business Users and Authorization

If you accept this EULA on behalf of a business, organization, educational institution, government body, or other legal entity, you represent and warrant that you have the authority to bind that entity to this EULA. That entity is responsible for ensuring that its employees, contractors, and authorized users comply with this EULA.

3.4 Language

This EULA is provided in English. If a translated version is made available, the English version will govern to the extent permitted by applicable law in the event of any inconsistency.

4. LICENSE GRANT

4.1 License

Subject to your compliance with this EULA and payment of any applicable license fees, Tweakrix grants you a personal, non-transferable, non-exclusive, revocable, limited license to install and use the Software during the applicable license term.

4.2 Installation and Use

Unless expressly stated otherwise in writing by Tweakrix, the license grants you the right to install and use one copy of the SOFTWARE PRODUCT on a single computer running a validly licensed Microsoft Windows operating system for which the SOFTWARE PRODUCT was designed (e.g., Windows 11, Windows 10, etc.).

4.3 Single User

The Software licensed to you may be used personally by a single individual on one computer only. Only you may use this licensed copy. Installation on any additional computer requires a separate license. For any other person to use the Software, they must obtain their own separate license.

4.4 Backup Copies

You may make copies of the SOFTWARE PRODUCT as reasonably necessary for backup and archival purposes.

4.5 Reservation of Rights

Tweakrix reserves all rights not expressly granted to you under this EULA.

5. RESTRICTIONS

(a) Maintenance of Copyright Notices

You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.

(b) Distribution

You may not distribute registered copies of the SOFTWARE PRODUCT to third parties. If evaluation/trial versions are made available for download from Tweakrix websites, such evaluation versions may be distributed only in unmodified form.

(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly

You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

(d) Usage Restrictions

You may not rent, lease, lend, resell, or sub-license the SOFTWARE PRODUCT. You may not circumvent any technical protection measures in the Software.

(e) Compliance with Applicable Laws

You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT.

(f) No Unauthorized Access for Third Parties

You may not provide, share, sublicense, or otherwise make the Software available to any other person except as expressly permitted by this EULA.

6. PRIVACY, DATA COLLECTION, AND THIRD-PARTY SERVICES

6.1 Privacy and Data Collection

The Software may collect technical data as described in the Privacy Policy. By using the Software, you agree to the terms of the Privacy Policy.

6.2 Third-Party Services and Components

The Software may interoperate with or include third-party components, services, websites, or technologies. Your use of such third-party elements may be subject to separate terms imposed by the relevant third party. Tweakrix is not responsible for third-party services, including their availability, performance, or security.

6.3 Scope of Functionality

The Software provides functionality as described on the official Tweakrix website or within the Software interface. The Software is not a substitute for professional services and does not provide guarantees of system performance, security, or error-free operation unless explicitly stated.

6.4 Availability and Third-Party Dependencies

Some features, integrations, download sources, update data, checkout flows, or support channels may depend on third-party services or infrastructure. Tweakrix is not liable for unavailability, interruptions, data loss, security issues, delays, or service degradation caused by third-party providers or events outside our reasonable control.

7. PRICING, TAXES, TRIALS, AND PAYMENTS

Prices may be subject to applicable taxes (including VAT / sales tax) depending on your location. Any such taxes may be calculated and displayed during checkout by the payment processor.

Certain features of the Software, such as scanning or analysis functionality, may be made available before purchase. Access to paid functionality, including applying fixes, installing updates, or using premium features, may require the purchase of a license or subscription.

If Tweakrix offers subscription plans or automatically renewing services for any Software product, the applicable commercial terms presented at checkout and in the order flow will apply in addition to this EULA.

If you purchase a subscription or any paid features, payments are processed by a secure third-party payment processor. Tweakrix does not collect or store full payment card information and does not act as a payment processor.

If you purchase a monthly subscription, that subscription may renew automatically at the end of each billing period unless cancelled before the renewal date, subject to the commercial terms presented at checkout.

Billing-related matters such as refunds, failed payments, chargebacks, subscription renewals, cancellations, or subscription management may be subject to the payment processor’s terms and procedures and the terms presented at checkout or in the order confirmation email.

Any money-back guarantee or refund right offered in connection with the Software is governed by the specific refund policy, promotional offer, or checkout terms presented at the time of purchase.

8. UPDATES AND NEW RELEASES

8.1

Tweakrix may, at its sole discretion, provide Updates or new releases of the Software.

8.2

Where an Update or new release is provided by Tweakrix:
(a) you may be required to install the Update or new release to continue using the Software; and
(b) you may be required to accept a new license agreement for the Update or new release. If no new EULA is supplied, this EULA shall continue to apply to the Update or new release.

8.3

Tweakrix may modify, suspend, replace, limit, or discontinue any Software feature, content source, update mechanism, pricing model, support option, online service, or related functionality at any time, with or without notice, to the maximum extent permitted by law.

8.4

We are not liable for any loss, incompatibility, interruption, or inconvenience arising from changes to features, service availability, platform support, operating system support, or third-party dependencies.

9. TERMINATION

9.1 Termination by Tweakrix

Without prejudice to any other rights, Tweakrix may suspend or terminate this EULA if you fail to comply with the terms and conditions of this EULA.

9.2 Effect of Termination

Upon termination, you must cease using the Software and destroy all copies of the SOFTWARE PRODUCT in your possession or control, unless applicable law requires otherwise.

9.3 Survival

The provisions relating to intellectual property, warranties, limitation of liability, indemnification, payment obligations, governing law, and any provisions which by their nature should survive termination shall remain in effect after termination of this EULA.

10.1

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof, is owned by Tweakrix. All title and intellectual property rights in and to content that may be accessed through the SOFTWARE PRODUCT is the property of the respective content owners and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content.

10.2

You acknowledge that the Software and documentation are protected by intellectual property rights (the “Rights”). You must not, during or after termination of this EULA, permit any act that infringes those Rights.

For avoidance of doubt, this EULA does not grant you any right to use any trademarks of Tweakrix associated with the Software or documentation.

11. WARRANTIES

11.1 Disclaimer

Tweakrix expressly disclaims any warranty for the Software Product. The Software Product is provided “as is” without any express or implied warranties of any kind, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Software does not guarantee that the use of its features will resolve all issues or produce specific results. Results may vary depending on system configuration and usage.

Tweakrix does not warrant or assume responsibility for the accuracy or completeness of any information contained in the SOFTWARE PRODUCT and makes no warranties that operation of the SOFTWARE PRODUCT will be uninterrupted or error-free.

You acknowledge that software affecting device drivers, system configuration, or related components may involve inherent technical risk. To the maximum extent permitted by law, Tweakrix is not responsible for any damage to hardware, peripherals, operating systems, software environments, files, settings, or data arising from installation, update activity, rollback attempts, incompatibility, misuse, or inability to use the Software.

11.2 Independent Judgment

You acknowledge that you have exercised your independent judgment in installing and using the Software and have not relied on any representation not expressly stated in this EULA.

11.3 Compatibility and Environment

The Software may not be compatible with all hardware, devices, driver packages, operating systems, system configurations, security tools, or third-party applications. You are responsible for ensuring that your device environment is suitable for the Software and for reviewing system requirements, detected devices, and available update information before making changes.

11.4 Geographic and Language Availability

The Software, related services, support options, pricing, billing flows, or certain features may not be available in all countries, regions, or languages. Tweakrix makes no warranty that all features or services will be available in your location.

11.5 User Representations

You represent and warrant that: (a) any information you provide to Tweakrix or its payment/service partners is accurate and current; (b) you will use the Software only on devices you own or are authorized to manage; (c) you will use the Software in compliance with applicable law and third-party rights; and (d) you will review update selections and make your own technical decisions before installing any driver updates or related changes.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Tweakrix, its directors, employees, contractors, or affiliates be liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages whatsoever, including without limitation damages for loss of profits, loss of data, loss of revenue, loss of business opportunity, business interruption, damage to hardware, peripherals, operating systems, files, settings, or software environments, personal injury, or any other commercial or technical loss arising out of or related to the use of or inability to use the SOFTWARE PRODUCT, even if Tweakrix has been advised of the possibility of such damages.

In jurisdictions where some limitations of liability are restricted, Tweakrix’s aggregate total liability for any matter arising out of or related to this EULA shall be limited to the lower of: (a) US $80; or (b) the aggregate amount actually paid by you for the SOFTWARE PRODUCT during the 3 months preceding the event giving rise to the claim.

Nothing in this EULA shall exclude or limit liability that cannot be excluded or limited under applicable law.

13. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Tweakrix, its directors, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Software; (b) your violation of this EULA; (c) your violation of applicable law or third-party rights; or (d) your content, instructions, actions, or technical decisions in connection with the Software.

14. EXPORT COMPLIANCE

You may not use the Software in violation of export control laws. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the export of the Software is prohibited by applicable law.

15. GENERAL PROVISIONS

15.1 Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, this EULA shall otherwise remain in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.

15.2 Non-Waiver

Failure by Tweakrix to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

15.3 Assignment

You may not assign or transfer this EULA or any rights granted under it without prior written consent from Tweakrix. Tweakrix may assign this EULA in connection with a merger, acquisition, corporate reorganization, or sale of assets.

15.4 Force Majeure

Tweakrix shall not be liable for any delay, interruption, or failure to perform any obligation under this EULA where the delay or failure results from causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, cyber incidents, internet or infrastructure outages, government actions, supplier failures, or failures of third-party service providers.

15.5 Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles. Subject to applicable consumer protection law, the courts having jurisdiction over Yokneam Illit, Israel shall have exclusive jurisdiction over disputes arising from or relating to this EULA.
